Data Succession Policy for Business Transfers, etc.
This Data Succession Policy for Business Transfers, etc. (the "Policy") sets forth the succession, disclosure, and handling of data when a Business Transfer, etc. occurs with respect to websites, web applications, and other related services (collectively, the "Services") provided by TOKOSEKI ("we," "us," or "our"). Contractors and Users who use the Services shall use the Services in accordance with this Policy.
Article 1 (Purpose)
The purpose of this Policy is to set forth matters necessary to continue the Services, succeed contractual relationships, appropriately manage User Data, and take legally required measures even if the operator, business structure, or service provision structure of the Services changes.
Article 2 (Definitions)
The terms used in this Policy are defined as follows. Terms not defined in this Policy follow the definitions in the Terms of Service and Privacy Policy.
- "Contractor" means a person who registers an account on the Services and creates or manages a Workspace.
- "User" means a Member or any other person who uses the Services under the Contractor's management.
- "Business Transfer, etc." means the transfer of all or part of the business related to the Services, merger, company split, contribution in kind of business, incorporation, inheritance, business succession, change of operator, or any similar transaction or organizational restructuring.
- "Successor" means a person who succeeds, through a Business Transfer, etc., to the business related to the Services, contractual status, rights and obligations, assets, systems, data, or other matters necessary to operate the Services.
- "Prospective Successor" means a candidate, counterparty, professional, advisor, contractor, or other related party involved in the review, negotiation, investigation, contract execution, or implementation of a Business Transfer, etc.
- "User Data" means information that we acquire, generate, store, or manage in connection with the Contractor's or User's use of the Services. User Data includes account information, Workspace information, Member information, reservation information, settings information for seats, equipment, layouts, etc., User Content, billing and payment information, support history, usage data, operation logs, audit logs, security logs, device and communication information, and other information necessary to provide and operate the Services.
Article 3 (Data Succession and Disclosure)
- We may disclose, provide, or succeed User Data to a Successor or Prospective Successor to the extent reasonably necessary for the review, negotiation, investigation, contract execution, implementation, consideration calculation, asset valuation, risk confirmation, legal compliance, continuous provision of the Services, or other matters reasonably necessary for a Business Transfer, etc.
- The disclosure, provision, or succession under the preceding paragraph includes disclosure, provision, or succession necessary for due diligence before contract execution, valuation of business value, migration preparation, system migration, succession of contractual and billing relationships, continuation of support, fraud prevention, security, and dispute resolution.
- We will reasonably determine the scope of User Data to be disclosed, provided, or succeeded based on the nature of User Data, the content of the Business Transfer, etc., the scope of involvement of the Successor or Prospective Successor, and other circumstances.
- If we handle User Data that constitutes personal information, personal data, or personal-related information, we will respond in accordance with the Act on the Protection of Personal Information and other applicable laws.
Article 4 (Purpose of Use after Succession)
- The Successor may handle succeeded User Data, to the extent permitted by law, within the scope of the purposes of use publicly announced or notified before succession, provision and operation of the Services, performance of contractual relationships, billing and payment, support, security, legal compliance, dispute resolution, and purposes incidental to these.
- If the Successor needs to handle personal information beyond the scope necessary to achieve the purposes of use before succession, the Successor shall make necessary notifications, public announcements, obtain consent, or complete other procedures in accordance with laws.
- In connection with a Business Transfer, etc., the Privacy Policy, Terms of Service, fees, functions, support structure, operation method, and other conditions of the Services may change.
Article 5 (Security Management and Contractual Measures)
- If we disclose, provide, or succeed User Data to a Successor or Prospective Successor, we will endeavor, to the extent legally or operationally necessary, to specify by contract or other method confidentiality, limitation of purpose of use, security management measures, restrictions on re-provision, responses to leaks, etc., return or deletion if the Business Transfer, etc. is not completed, and other matters we deem necessary.
- We will respond within a reasonable scope, according to the content of the Business Transfer, etc. and the nature of User Data, to the selection of the Successor or Prospective Successor, contract execution, migration procedures, and confirmation of data handling.
- We are not liable for the handling of User Data by a Successor or Prospective Successor except where we are legally liable or where we have willful misconduct or gross negligence.
Article 6 (Notice or Public Announcement)
- If User Data is succeeded in connection with a Business Transfer, etc., we will notify or publicly announce the matter to Contractors or Users by posting on the Services, sending to registered email addresses, displaying on the management screen, posting on our website, or by other methods we deem appropriate, if required by law or if we deem it appropriate.
- Depending on the content, timing, negotiation status, confidentiality obligations, laws, transaction necessity, and other circumstances of a Business Transfer, etc., prior notice or public announcement may not be possible. In such cases, we will provide post-closing notice or public announcement or take other appropriate measures to the extent required by law.
- Contractors and Users shall keep their registration information current and accurate. We are not liable even if notices or communications do not arrive due to incomplete or outdated registration information.
Article 7 (Succession of Contractual Status and Rights and Obligations)
- In connection with a Business Transfer, etc., contractual status, rights and obligations, claims, payment obligations, information related to usage fees, support history, usage history, and other matters necessary to provide and operate the Services may be succeeded to the Successor.
- Contractors and Users consent in advance to the succession under the preceding paragraph.
- If a Business Transfer, etc. occurs, the provider of the Services, contracting party, billing party, contact point, and other operational points of contact after that time may change to the Successor.
Article 8 (Cancellation and Data Deletion)
- A Contractor who does not agree to data succession in connection with a Business Transfer, etc. may cancel the Services or Paid Plan in the manner prescribed by us.
- Even if cancellation is made under the preceding paragraph, prorated refunds, cancellations, or other refunds upon cancellation will not be provided except as otherwise provided in the Terms of Service.
- If a Contractor or User wishes to delete data, the Contractor or User shall apply in the manner prescribed by us. We will respond to the extent possible based on identity verification, authority verification, laws, contracts, security, audits, dispute resolution, backups, system limitations, and other reasonable circumstances.
- Even after cancellation or a deletion request, certain data may be stored or succeeded to the extent reasonably necessary for implementation of a Business Transfer, etc., legal compliance, contract performance, security, audits, dispute resolution, or other reasonable purposes.
- Members and other Users under the Contractor's management shall, in principle, complete data deletion, withdrawal, and other procedures through the Contractor.
Article 9 (Relationship with this Policy, Terms of Service, and Privacy Policy)
- In addition to this Policy, the Terms of Service and Privacy Policy apply to the handling of User Data.
- If this Policy conflicts with the Terms of Service or Privacy Policy, this Policy prevails with respect to succession, disclosure, and handling of User Data in connection with a Business Transfer, etc.
- Matters not provided in this Policy are governed by the Terms of Service and Privacy Policy.
Article 10 (Changes to this Policy)
- We may change this Policy according to changes in laws, changes in business content, changes to the specifications of the Services, the content of a Business Transfer, etc., operational necessity, or other circumstances.
- The changed Policy becomes effective when notified or publicly announced by posting on the Services, posting on our website, or by other methods we deem appropriate. However, if laws require separate procedures, those procedures will be followed.
